BOXIV SHARE Rental Agreement

Chapter 1 General Provisions
Article 1 (Application of these Terms and Conditions)

1. BOXIV Inc. (the “Company”) operates a system (the “Service”) under which, in accordance with these terms and conditions (these “Terms and Conditions”) and the Detailed Rules, the Company rents out rental vehicles (“Car-Sharing Vehicles”) at the rental locations designated by the Company (“stations”) to the Members defined in Article 2, and Members rent them. Matters not provided for in these Terms and Conditions shall be governed by laws and regulations or by general practice.
2. The Company may agree to special provisions to the extent that they do not conflict with the purport of these Terms and Conditions, with laws and regulations or with general practice. If a special provision has been agreed, that special provision shall prevail.

Chapter 2 Members
Article 2 (Members)

1. A Member means a person who, having accepted the content of these Terms and Conditions, has completed the application procedure for membership under these Terms and Conditions and has been approved by the Company.
2. On joining, a Member (other than a Member that is not a natural person, such as a corporation, organization, association or sole proprietor) becomes a member of BOXIV MEMBERS, operated by BOXIV Inc.

Article 3 (Joining)

1. A person who wishes to join shall apply for membership by the method separately specified by the Company.
2. If the Company accepts an application under the preceding paragraph, it shall carry out the necessary screening and procedures, and where it approves the membership, it shall issue to the applicant the membership number (BOXIV ID) required to rent a Car-Sharing Vehicle.
3. If, as a result of screening, the Company finds that an applicant falls under any of the following items, it may refuse to approve that person's membership.
(1) If the applicant does not hold the driver's license required to drive a Car-Sharing Vehicle, a driver's license satisfying the type of license, conditions and other requirements designated by the Company, or any other identity verification document designated by the Company (a passport or the like).
(2) If the matters declared in the application for membership contain a false statement, an error or an omission.
(3) If the applicant is found to belong to an organised crime group, to an organization related to an organised crime group as a member or an associate, or to any other antisocial organization (“Organised Crime Group Members, etc.”), or if it becomes clear that the applicant has cooperated in or been involved in maintaining or operating an organised crime group or an organization related to an organised crime group, or has associated with Organised Crime Group Members, etc.
(4) If the applicant's membership has previously been revoked in a car-sharing service of the Company.
(5) If the Company determines that the applicant is unsuitable as a Member.
(6) If the applicant is under 20 years of age.
4. Because the Company is obliged, under the Basic Circular on Rental Cars (Jiryo No. 138 of June 13, 1995), to record the name and address of the driver and the type and number of the driver's license in the rental register (rental record slip), the Company shall, at the time of the application for membership, request the Member to present a driver's license and other documents verifying identity (including transmission of the applicant's driver's license and other identity verification documents by electromagnetic means) and to consent to those documents being copied, and the Member agrees to this. None of the documents submitted to the Company by the applicant at the time of the application, such as the application form and the copy of the driver's license, shall be returned to the applicant or the Member for any reason whatsoever.

Article 4 (Withdrawal)

If a Member withdraws, the Member shall notify the Company by the method separately specified by the Company. In this case, any unperformed obligations arising up to the time of the Member's withdrawal, including payment of the Service Usage Fees separately specified by the Company, shall remain in force. The same shall apply where membership is revoked under the following Article.

Article 5 (Suspension and Revocation of Membership)

1. If a Member falls under any of the following, the Company may suspend or revoke that Member's membership without any prior notice or demand to the Member.
(1) If the Member has lost the driver's license required to drive a Car-Sharing Vehicle, or has lost a driver's license satisfying the type of license, conditions and other requirements designated by the Company.
(2) If the content of an application or notification made to the Company contains false matters.
(3) If the Member has defaulted on, or refused to pay, the Service Usage Fees specified in Article 8 or any other monetary obligation.
(4) If the Member has breached these Terms and Conditions.
(5) If use of the credit card or payment account designated by the Member has been suspended by the credit card company, or if the credit card company has requested the Company to stop billing the Member for the Service Usage Fees or any other monetary obligation.
(6) If, at the time of booking a Car-Sharing Vehicle or at the end of the rental contract, the credit limit of the credit card designated by the Member was insufficient.
(7) If the Member has been subject to a petition for attachment, provisional attachment, provisional disposition, compulsory execution or auction.
(8) If the Member has filed for bankruptcy, civil rehabilitation, corporate reorganisation or special liquidation, or has had any such petition filed against it.
(9) If the Member has resolved to dissolve, or has publicly announced the commencement of voluntary liquidation proceedings.
(10) If a bill or check drawn, accepted or guaranteed by the Member has been dishonoured.
(11) If the Company reasonably determines that the Member has engaged in conduct that seriously disturbs or inconveniences another Member or a third party (including but not limited to smoking inside a Car-Sharing Vehicle, leaving articles behind and soiling a Car-Sharing Vehicle).
(12) If the Company reasonably determines that, for reasons of safety management, the Service should not be provided.
(13) If the Member has driven in a manner prohibited by the Road Traffic Act, such as driving under the influence of alcohol; if the Member fails to pay the traffic fine for a parking violation under the Road Traffic Act; if the Company receives a written explanation under Article 51-4, paragraph 6 of the Road Traffic Act in respect of an order to pay the parking violation surcharge under paragraph 4 of that same Article; or if the Member otherwise commits an act in breach of laws and regulations.
(14) If the Member is found to be an Organised Crime Group Member, etc., or if it becomes clear that the Member has cooperated in or been involved in maintaining or operating an organised crime group or an organization related to an organised crime group, or has associated with Organised Crime Group Members, etc.
(15) If the Member has breached the terms or conditions governing a service provided by BOXIV Inc., or has fallen under a ground for suspension or revocation of eligibility specified in those terms or conditions and has had eligibility for that service suspended or revoked.
(16) If the Member has died or gone missing, if a notice addressed by the Company to the Member does not reach the contact details notified, or if the Member refuses to accept a notice from the Company.
(17) If the account is being used improperly by a third party, or if the Company determines that there is a suspicion of such use.
(18) If the Company reasonably determines that the Member has no intention of using the Service, such as where the Member has not registered a valid driver's license for a long period.
(19) If, in accordance with the preceding items, the Company reasonably determines that it is inappropriate to rent a Car-Sharing Vehicle to the Member, or if the Company otherwise reasonably determines that it is necessary, whatever the reason.
2. When the period of validity of the driver's license required to drive a Car-Sharing Vehicle expires, the Member shall immediately notify the Company, by the procedure prescribed by the Company, of a copy or image data of the renewed driver's license; if the Member fails to give that notification, the Company may suspend or revoke that Member's membership in accordance with item 1 of the preceding paragraph.
3. If a Member's membership is revoked, that Member shall lose the benefit of time and shall pay in a lump sum all obligations owed to the Company at that point, including the Service Usage Fees and any other monetary obligations. The same shall apply where a Member withdraws under the preceding Article.
4. If a Member's membership is suspended, that Member may not use the Service during the period designated by the Company. In this case, the Company may suspend the functions for using the Service under that Member's BOXIV ID.
5. The Company may cancel a booking made before the suspension or revocation of membership. This shall not apply, however, where there is a cause attributable to the Company in respect of the application of paragraph 1, such as where the facts on which the suspension or revocation of membership under that paragraph was based do not exist.

Chapter 3 The Rental Contract
Article 6 (Booking)

1. In renting a Car-Sharing Vehicle, the Member shall, having agreed to these Terms and Conditions and to the fee schedule set out separately (on the website or in the app), apply for a booking of a rental contract by the method separately specified by the Company, entering in advance the pickup date and time, the return date and time, the desired station and the other conditions of rental (the “rental conditions”). The rental period is generally the period from the pickup date and time to the return date and time set at booking; if the Company permits use of a Car-Sharing Vehicle to begin before the pickup date and time, the rental period shall run from the earlier of the pickup date and time or the date and time at which the Member actually began using the Car-Sharing Vehicle.
2. If rental on the rental conditions specified by the Member is not possible, the booking will not be approved. Likewise, if the rental conditions are changed after the booking application, the change will not be approved if rental on the changed rental conditions is not possible. If a Member unilaterally changes the rental conditions — by extending the return date and time, for example — without the Company's approval, the Member shall, in addition to its obligations under Article 32, compensate the Company and other Members for any loss so caused.
3. The Member acknowledges in advance that it may not be possible to rent a Car-Sharing Vehicle on the rental conditions as booked, owing to unforeseen changes in the circumstances of use by other Members and the like.
If a Member cancels a booking application under paragraph 1 or changes the content of a booking application, the Member shall complete the cancellation or change procedure by the method separately specified by the Company by the pickup date and time; no cancellation or change may be made after the pickup date and time has passed.
If a Member has not carried out the cancellation or change procedure under the preceding paragraph by the pickup date and time, the Member shall pay the usage charges in accordance with Article 8, paragraph 2 even if the Member did not use the Car-Sharing Vehicle.
4. The Company does not guarantee that a Member will be able to book the rental of the Car-Sharing Vehicle it wishes, and the Company shall not be liable for any loss caused to a Member where the Member was unable to apply for a booking, or where a booking was not approved, owing to a natural disaster, an accident, theft, a breakdown or defect of a vehicle, a late return by another Member, a communications failure in telecommunications services such as fixed-line telephone, mobile telephone, smartphone or internet connections, a failure or defect in the systems used to operate the Service, or any other cause not attributable to the Company.
By registering another Member as an additional driver at the time of booking, a Member may allow that additional driver to drive the Car-Sharing Vehicle under the management of the Member who applied for the booking. However, a person under 20 years of age may not be registered as an additional driver, and the registration of a person under 22 years of age as an additional driver shall be governed by Article 6-2.
5. If the Member's credit card limit is insufficient, the booking will not be approved. Even if a booking has already been made, the Company may cancel it if it becomes clear that the Member's credit card limit is insufficient, if the Member has withdrawn, or if membership has been suspended or revoked.
If payment of the Service Usage Fees specified in Article 8 or of any other obligation owed by the Member to the Company in connection with use of the Service is in arrears, that Member's bookings will not be approved, and the Company may also cancel bookings already made.
6. In these Terms and Conditions, the “rental period” means the period from the pickup date and time to the return date and time set at booking. If the Company has approved an extension of the return time, the rental period includes the period up to the extended return date and time so approved. (The same applies below.)
7. A Member who wishes to extend the return time shall apply, before the scheduled return time arrives, by the method separately specified by the Company (the app, the telephone or any other method designated by the Company). Only if the Company approves that application may the Member extend, and only within the extension time approved by the Company. The Company determines separately, in light of its operations, whether extension applications are accepted, how they must be submitted, and the extension time it may approve. If the night pack is used, no extension shall be permitted for any reason whatsoever.
8. A person under 20 years of age may not use the Service. Accordingly, a person under 20 years of age may not book or drive a Car-Sharing Vehicle, whether or not that person is a Member, nor may that person be registered as an additional driver under this Article or drive a Car-Sharing Vehicle.
9. If a person under 22 years of age drives a Car-Sharing Vehicle (including where that person drives as an additional driver under this Article, as well as where the Member drives in person), enrollment in the “Double Peace of Mind option”, the coverage option separately specified by the Company, is required. In this case, if the Member falls under either of the following items, the Member must purchase the Double Peace of Mind option for the rental covered by that booking, and may not make that booking or that rental unless it does so.
(1) If the Member is under 22 years of age.
(2) If a person under 22 years of age is registered as an additional driver.
10. The ages specified in the preceding two paragraphs shall be determined as at the pickup date and time of the Car-Sharing Vehicle. If a Member, in breach of paragraph 8, allows a person under 20 years of age to drive a Car-Sharing Vehicle, or, in breach of paragraph 9, allows a person under 22 years of age to drive a Car-Sharing Vehicle without purchasing the Double Peace of Mind option, the Company may suspend or revoke membership under Article 5 or take any other necessary measure, and in respect of an accident or loss arising from that driving, no insurance proceeds or coverage payment under the Company's automobile insurance policy or coverage scheme may be paid, in accordance with Article 24, paragraph 6.

Article 7 (Rental)

1. Each time a Car-Sharing Vehicle is used on the basis of a booking under the preceding Article, the booking contract is completed and the rental contract is formed when the Member carries out the pickup procedure in person at the station by the method specified by the Company.
2. The Company does not guarantee the rental of the Car-Sharing Vehicle booked by a Member. If, owing to a natural disaster, an accident, theft, a breakdown or defect of a vehicle, a late return by another Member, a communications failure in telecommunications services such as fixed-line telephone, mobile telephone, smartphone or internet connections, a failure or defect in the systems used to operate the Service, or any other cause, the booked Car-Sharing Vehicle cannot be rented to the Member or it is judged objectively inappropriate to rent it, and no other Car-Sharing Vehicle can be rented instead, or the Member does not accept the rental of another Car-Sharing Vehicle offered by the Company, that booking shall be deemed to have been canceled. The Company may also cancel a booking where a ground for suspension or revocation of membership under Article 5, paragraph 1 applies.
3. If, on the grounds set out in the preceding paragraph, a Car-Sharing Vehicle cannot be rented to a Member or it is judged objectively inappropriate to rent it, the Company shall notify the Member promptly by telephone, e-mail or a similar method.

Article 8 (Service Usage Fees)

1. The Service Usage Fees means the usage charges in effect when a Car-Sharing Vehicle is rented out, as filed with the Director of the Transport Branch Office of the District Transport Bureau and the Director of the Land Transport Office of the Okinawa General Bureau.
2. The usage charges are calculated as the total of (1) the time charge (the charge calculated by multiplying the usage time, derived from the difference between the pickup date and time specified when the Car-Sharing Vehicle was booked and the date and time at which the return procedure was actually carried out, by the unit price set for each vehicle grade) and (2) the distance charge (the charge calculated by multiplying the distance actually driven by the unit price common to all plans regardless of vehicle grade (¥25/km)). Fee structures separately specified by the Company according to the usage time, such as the minimum charge, the maximum time charge and the night pack, are applied automatically. If a Member neither cancels the booking nor uses the Car-Sharing Vehicle, the Company will bill the time charge for the booked rental period.
3. Any calculated time falling short of the billing unit separately specified by the Company shall be rounded up.
4. Charging costs incurred in using the charging equipment designated by the Company (including but not limited to Tesla Superchargers) while the Service is being used are included in the Service Usage Fees. However, the charges and other costs listed in the following items (“Charging-Related Costs”) are not included in the Service Usage Fees, and the Member shall pay the Charging-Related Costs and the administrative handling fee to the Company in accordance with Article 10, paragraphs 5 and 6.
(1) Charges for the use of charging equipment not designated by the Company
(2) Overstay charges, idle fees, parking charges and other additional charges imposed by a charging operator (including Tesla Japan GK) because the vehicle has been left in place after charging is complete or because of any other manner of use by the Member
(3) Handling fees, late payment damages and other costs imposed by a charging operator in connection with the preceding two items
5. If a Member uses another company's services with a Car-Sharing Vehicle during the rental period, such as a toll road or an hourly parking lot, the Member shall settle the charges for that use at its own responsibility. However, if all or part of those charges (including late charges, surcharges and other incidental costs) is billed to the Company owing to the use of the ETC system, non-payment of the charge, a malfunction of a payment machine or any other cause, and the Company pays them, the Member shall pay the amount so paid and the administrative handling fee to the Company in accordance with Article 10, paragraphs 5 and 6.
6. If, in a case in which the Member has used the ETC system under the preceding paragraph, an expressway operating company or other operator of a toll road (an “Expressway Operating Company, etc.”) makes an inquiry to the Company regarding the Member's use of a toll road, the Company may disclose to the Expressway Operating Company, etc. the information concerning the user in question, and the Member consents to this.
7. The Member shall pay to the Company, separately, the consumption tax (including local consumption tax) imposed on the Service Usage Fees.
8. The Service Usage Fees comprise the following elements, the specific amounts of which shall be as set out in the fee schedule separately specified by the Company (published on the Company's website or in the app).
(1) Time charge: the basic charge billed in 1-hour units.
(2) Distance charge: ¥25 per km driven, common to all grades. It arises regardless of the usage time and the fee pack.
(3) Minimum charge: the minimum guaranteed charge applied where the usage time is less than 6 hours (set for each vehicle grade).
(4) Maximum time charge: the cap corresponding to each of the 12-hour, 24-hour, 36-hour, 48-hour and 72-hour bands. The amount most favourable to the Member is applied automatically according to the booked period.
(5) Night pack: the flat time-band charge applied automatically where the rental period falls within the hours from 18:00 to 09:00 the following day. No extension whatsoever is permitted on the night pack, nor may it be combined with the maximum time charge or switched with the time charge.
(6) Each further day: the charge added for every 24 hours where the rental period exceeds 72 hours.
(7) Approved extension charge: the charge applied to the extension time approved by the Company under Article 6, paragraph 7. It is the same amount as the normal time charge, and the maximum time charge, the minimum charge and the night pack do not apply.
(8) Overtime charge (unauthorized extension charge): the charge applied where the vehicle is used beyond the scheduled return time without the Company's approval, or where it is used beyond the extension time approved by the Company. It is twice the normal time charge, and the maximum time charge, the minimum charge and the night pack do not apply. It applies in the same way where the overrun arises because another booking meant that an extension could not be approved.

Article 9 (Measures on Revision of the Service Usage Fees)

1. If the Company revises the Service Usage Fees, it shall notify Members at least 2 weeks before the date of the revision, by means such as publication on the Company's website specified in Article 40.
2. If the Company revises the Service Usage Fees after a Member has made a booking under Article 6, the fee schedule applicable on the return date and time shall apply.

Article 10 (Payment)

1. The Member shall pay the Service Usage Fees, and any obligation owed by the Member to the Company in connection with use of the Service, by the credit card, debit card, prepaid card or other prepaid payment instrument notified to the Company by the Member in advance.
2. If payment cannot be made by the means set out in the preceding paragraph, the Company may require payment by invoice. The Company cannot accept payment by invoice at a Member's request.
3. If a dispute arises between a Member and a credit card company in connection with the procedures specified by that credit card company, it shall be resolved between the parties concerned.
4. If payment of the Service Usage Fees or of any other obligation owed by the Member to the Company in connection with use of the Service is in arrears on more than one occasion, the Company may suspend or revoke that Member's membership regardless of whether payment is subsequently made in full.
5. If the Company pays to a third party, or bears as a claim made against the Company by a third party, costs to be borne by a Member in connection with that Member's use of the Service, or if the Company bills a Member for costs in accordance with these Terms and Conditions, the Member shall pay the Company those costs (“Advances”) and the administrative handling fee specified in the following paragraph by the method specified in paragraph 1. Advances include the following.
(1) The Charging-Related Costs specified in the items of Article 8, paragraph 4
(2) The toll road charges (including those incurred through use of the ETC system), hourly parking lot charges and other charges for the use of another company's services specified in the proviso to Article 8, paragraph 5
(3) The costs specified in Article 25, paragraph 1, the parking violation penalty specified in paragraph 6 of that Article, the Parking Violation Related Costs specified in paragraph 7 of that Article and the Parking Violation Charge specified in paragraph 8 of that Article
(4) In addition to the matters listed in the preceding three items, costs to be borne by the Member that the Company has advanced or borne
6. The amount of the administrative handling fee under the preceding paragraph shall be the amount specified in each of the following items (including consumption tax and local consumption tax) according to the category of Advances listed in that item. The administrative handling fee covers the fees charged by the payment system the Company uses and the work of reviewing the claim, preparing the statement, notifying the Member and collecting payment. It is a flat amount per case, as defined in the following paragraph, regardless of the size of the Advances.
(1) Advances listed in item 1 of the preceding paragraph: ¥220 per case
(2) Advances listed in items 2 to 4 of the preceding paragraph: ¥550 per case
7. A “case” in the preceding paragraph shall be as set out in the following items. Even if the Company bills a Member for several Advances together, the administrative handling fee shall be calculated according to the number of cases.
(1) Advances under paragraph 5, item 1: each charge or additional charge imposed by a charging operator for one use of charging equipment by the Member
(2) Advances under paragraph 5, items 2 and 4: each statement of a claim received by the Company from a third party
(3) Advances under paragraph 5, item 3: each matter relating to one parking violation (including an abandoned-vehicle parking violation)
8. The Company may change the amount of the administrative handling fee under paragraph 6 owing to a revision of payment system usage fees, a change in the costs required for billing work, a change in the consumption tax rate or any other circumstance. In this case, the Company shall notify Members by the method specified in Article 40 at least 2 weeks before the effective date of the changed amount.
9. A third party's claim for Advances may take several days to be finalized. The Company may bill a Member for the Advances and the administrative handling fee relating to a rental contract even after that rental contract has ended, and the Member shall pay them by the method specified in paragraph 1.
10. If the Company receives a reduction or cancellation from a third party in respect of all or part of the Advances and an overpayment arises in the Advances already received from the Member, the Company shall refund that overpaid amount to the Member. In this case, the administrative handling fee for the billing work already carried out shall not be refunded. However, if that reduction or cancellation is due to a cause attributable to the Company, the administrative handling fee shall also be refunded.

Article 11 (Credit Limit)

1. The Company may set for each Member an upper limit on the unsettled balance of the Service Usage Fees (the “credit limit”).
2. If the Company sets a credit limit under the preceding paragraph, it shall notify each Member in writing, by e-mail or by any other method it considers appropriate.
3. If a Member's unsettled balance of the Service Usage Fees reaches the credit limit, the Company shall not approve that Member's bookings.
4. The Company may change a Member's credit limit where it considers it necessary in the light of the Member's use of the Service, the settlement of the Service Usage Fees or any other ground.

Article 12 (Set-off)

If the Company owes a monetary obligation to a Member under these Terms and Conditions or any other transaction, it may set that obligation off at any time against the Service Usage Fees or any other monetary obligation owed by the Member to the Company.

Article 13 (No Provision of a Replacement Vehicle)

If a Car-Sharing Vehicle becomes unusable during the rental period, the Company shall not be obliged to rent another Car-Sharing Vehicle to the Member.

Article 14 (Cancellation of the Rental Contract)

If a Car-Sharing Vehicle becomes unusable owing to a defect existing before the Member rented it, the Member may cancel the rental contract.

Article 15 (Early Termination of the Rental on Grounds of Force Majeure)

1. If, during the rental period of a Car-Sharing Vehicle, the Car-Sharing Vehicle becomes unusable owing to a natural disaster or other force majeure, an accident, theft or breakdown for which the Member is not responsible, or any other cause not attributable to the Member, the rental contract shall terminate at the point at which the Car-Sharing Vehicle became unusable. In this case, the Company shall waive the Service Usage Fees payable by the Member for the period from the point at which the Car-Sharing Vehicle became unusable.
2. If a cause under the preceding paragraph arises, the Member shall notify the Company of it immediately.

Article 16 (Early Termination of the Rental on Grounds Attributable to the Member)

1. If, during the rental period of a Car-Sharing Vehicle, the Car-Sharing Vehicle becomes unusable owing to an accident, theft or breakdown attributable to the Member or any other cause attributable to the Member, the Member must notify the Company immediately of the occurrence of that cause, and the rental contract shall terminate at the point at which the Company is notified.
2. If, during the rental period, a Member parks or stops a Car-Sharing Vehicle without permission on private land or in any other place where parking or stopping is not permitted, and the Company is asked by the landowner, the police or others to move the Car-Sharing Vehicle, the Company may move or recover that Car-Sharing Vehicle if it determines that it would be difficult for the Member to move it immediately.
3. In the case of the preceding paragraph, the rental contract shall terminate at the point at which the Company moves or recovers the Car-Sharing Vehicle. The Company may charge the Member for the costs required to search for the Car-Sharing Vehicle and for the costs required to move or recover it.

Article 17 (Change of the Rental Conditions)

1. If, after the rental contract has been formed, a Member wishes to change the rental conditions set at booking, the Member shall follow the procedure by the method separately specified by the Company. If rental on the changed rental conditions is not possible, the change will not be approved.
2. If a Member applies to extend the return time, the Company shall decide whether to approve it in the light of the allocation of that vehicle, the bookings of other Members, the Member's use of the Service and payment record, and the other standards prescribed by the Company. If the Company approves the extension, the Member may continue to use the vehicle within the extension time approved by the Company, and shall pay the normal time charge for that approved extension period (the maximum time charge, the minimum charge and the night pack shall not apply). The method of accepting extension applications, whether they are accepted and the upper limit of the extension time that may be approved shall be separately determined by the Company as its operational policy, and may be changed.
3. Continuing to use the vehicle beyond the scheduled return time without the Company's approval, or continuing to use it beyond the extension time approved by the Company under the preceding paragraph, is referred to as an “unauthorized extension”. An unauthorized extension is deemed to be use outside the rental period, and the Member is obliged to pay, in addition to the provisions of Articles 32 and 33, an unauthorized extension charge equal to twice the normal time charge (the maximum time charge, the minimum charge and the night pack shall not apply), any other penalty separately specified by the Company, and the costs required for recovery, searching and the like. If the overrun arises because another booking meant that an extension could not be approved, it shall likewise be treated as an unauthorized extension. Furthermore, in respect of an accident or loss occurring during an unauthorized extension period, the Company's automobile insurance policy and coverage scheme shall not apply, save for cover under compulsory automobile liability insurance, and the Member shall bear all of that loss at its own cost and responsibility.

Chapter 4 Liability
Article 18 (Periodic Inspection and Maintenance)

1. The Company shall rent out Car-Sharing Vehicles on which the periodic inspection and maintenance under Article 48 of the Road Transport Vehicle Act has been carried out.
2. If a defect in maintenance or the like is found in a Car-Sharing Vehicle during the check under the preceding paragraph, the Company shall take measures such as replacing parts.
3. If, as a result of the check under paragraph 1, use of the Car-Sharing Vehicle is difficult, the Company may cancel the booking contract made by the Member under Article 6. In this case, the Company shall endeavour to offer another Car-Sharing Vehicle to the extent that the operating status of its Car-Sharing Vehicles permits, but shall bear no responsibility beyond that.

Article 19 (Daily Inspection and Maintenance)

1. During the rental period, the Member must perform the daily inspection and maintenance specified in Article 47-2 of the Road Transport Vehicle Act on the rented Car-Sharing Vehicle before each day's use.
2. If a Member finds an abnormality in the Car-Sharing Vehicle after carrying out the daily inspection and maintenance, the Member shall notify the Company promptly and follow the Company's instructions. If, owing to that abnormality, the Car-Sharing Vehicle can no longer be rented out, and no other Car-Sharing Vehicle can be offered, or the Member does not accept the rental of another Car-Sharing Vehicle offered by the Company, the rental contract shall be canceled.

Article 20 (The Member's Duty of Care)

1. The Member shall use and keep the Car-Sharing Vehicle with the due care of a prudent manager.
2. The duty of care under the preceding paragraph begins when the pickup procedure for the Car-Sharing Vehicle is completed and ends when the return procedure is completed.
3. If the Car-Sharing Vehicle is soiled, lost or damaged (including where damage or the like occurs to the Car-Sharing Vehicle during the period of the duty of care, whether or not the Member is at fault), the Member must report this to the Company immediately in accordance with Article 23, paragraph 6.

Article 21 (Prohibited Acts)

1. A Member must not do any of the following.
(1) Use a Car-Sharing Vehicle for a motor transport business or a similar purpose without the Company's approval and the permission required under the Road Transport Act.
(2) Allow a person who is not a Member, or a Member who has not been registered as an additional driver under Article 6, paragraph 7, to use a Car-Sharing Vehicle, sublease it, provide it as security, or do anything else that infringes the Company's rights or obstructs its business.
(3) Alter the original condition of a Car-Sharing Vehicle, such as by forging or altering its vehicle registration number plate or vehicle number plate, or by remodelling or refitting it.
(4) Use a Car-Sharing Vehicle for any kind of test or competition, or to tow or push another vehicle, without the Company's approval.
(5) Use a Car-Sharing Vehicle in breach of laws and regulations or of public order and morals.
(6) Obtain insurance on a Car-Sharing Vehicle without the Company's consent.
(7) Carry a pet in a Car-Sharing Vehicle. A pet may be carried, however, if it is in a pet case or pet bag, or if the pet seat cover offered as an equipment option or a similar item is used, and steps are taken to keep the interior from being soiled.
(8) Load into a Car-Sharing Vehicle dangerous goods such as kerosene or gasoline, or articles liable to harm or injure the health of the Company or of other Members, such as radioactive substances and specimens of infectious diseases.
(9) Engage in conduct that compromises the safety of traffic or of the surrounding area, such as erratic driving (including but not limited to weaving, sudden acceleration and unnecessary sudden braking; it is not necessary that the driving be unlawful under traffic law) or inappropriate parking or stopping (whether the place is public or private).
(10) Engage in conduct that seriously disturbs or inconveniences other Members or third parties (including but not limited to smoking inside a Car-Sharing Vehicle, leaving articles behind and soiling a Car-Sharing Vehicle).
(11) Make unreasonable demands of the Company, or engage in conduct or language that is unacceptable by ordinary social standards (including but not limited to assault or injury against the Company or its employees, intimidation, defamation, damage to reputation, insults, abusive language and invasion of privacy, excessive demands made without proper reason, and detaining staff for long periods with persistent complaints).
(12) In addition to the preceding item, engage in conduct that seriously disturbs or inconveniences the Company, or that obstructs the Company's business.
(13) Extend the return time without the Company's approval, or continue to use the vehicle beyond the upper limit of the approved extension time (an unauthorized extension).
(14) Allow a person under 20 years of age to drive a Car-Sharing Vehicle, or, in breach of Article 6, paragraph 9, allow a person under 22 years of age to drive a Car-Sharing Vehicle without purchasing the Double Peace of Mind option.
2. If the Company reasonably determines that a Member has engaged in conduct falling under item 11 or item 12 of the preceding paragraph, the Company may decline to deal with that Member at all, whether by telephone, e-mail or in writing.

Article 22 (Refusal to Supply a Driver)

A Member may not obtain a driver's services from the Company (including any referral or arrangement of a driver) in connection with the rental of a Car-Sharing Vehicle.

Article 23 (Liability for Damages and Bearing of Costs for Damage to the Vehicle and the Like)

1. If, in connection with the use or keeping of a Car-Sharing Vehicle during the rental period (meaning the period of the duty of care specified in Article 20, paragraph 2; the same applies hereinafter), a Member causes loss to a third party or to the Company, the Member shall be liable to compensate for that loss, except where the loss is due to a cause attributable to the Company.
2. If, under the preceding paragraph, a Member causes loss to a third party and the Company compensates the third party in the Member's place, the Company may claim reimbursement of the amount of that compensation from the Member.
3. Where damage, soiling, destruction or loss occurs to a Car-Sharing Vehicle (including its equipment, charger and other accessories; the same applies in this Article) during the rental period — including, in addition to that caused by a collision, contact or other accident, damage to the glass, body, tires or wheels caused by flying stones, falling objects or debris on the road surface, punctures, hit-and-run damage, vandalism, break-ins, theft and any other damage arising whether or not the Member is at fault (“Incidental Damage”) — the Member shall bear the costs required to restore the vehicle to its original condition (including repair costs, parts, labor, the costs of collecting and transporting the vehicle, and the costs incurred by the Company in confirming the damage and arranging the repair), except where the damage is due to a cause attributable to the Company.
4. Of the costs under the preceding paragraph, the amount borne by the Member for Incidental Damage shall be the actual cost, up to a maximum, per instance of Incidental Damage, of the amount equivalent to the deductible for vehicle damage coverage specified in Article 24, paragraph 1, item 3 (¥200,000). The portion exceeding that maximum shall be borne by the Company, and the Company shall decide whether to apply its automobile insurance policy to that loss. However, the maximum shall not apply in any of the following cases.
(1) Where the Member fails to make the report specified in paragraph 6 (including the case specified in paragraph 7)
(2) Where the damage is due to the Member's willful misconduct or gross negligence
(3) Where the case falls under a prohibited act specified in Article 21, a breach of these Terms and Conditions specified in Article 24, paragraph 6, or any other ground on which insurance proceeds or coverage payments are not paid
5. If the rental contract terminates under Article 16, or if a Car-Sharing Vehicle becomes unusable, or the Company takes it out of service for repair, cleaning, restoration or the like, owing to damage under paragraph 3 or any other accident, soiling, breakdown, loss or similar cause for which the Member is responsible under these Terms and Conditions, the Member shall pay the Company the charge separately specified by the Company as compensation for the business lost during the period in which the Car-Sharing Vehicle cannot be used (the Non-Operation Charge (NOC)).
6. If a Member discovers Incidental Damage during the rental period (including where it is discovered in the check on return), the Member shall report it to the Company immediately by the method prescribed by the Company (the app or telephone) and, at the Company's request, submit photographs of the damaged area, an explanation of how it occurred and other materials. Where the matter constitutes a collision, contact or other accident, Article 26 shall apply.
7. If a Member does not make the report under the preceding paragraph and the Company discovers the damage after the Car-Sharing Vehicle has been returned, or if a Member reports the damage after returning the Car-Sharing Vehicle, the damage shall be treated as an accident under Article 26; paragraph 4 of that Article and Article 24, paragraph 6 shall apply; and the maximum under paragraph 4 of this Article shall not apply.
8. Notwithstanding the preceding paragraphs, the Company shall not charge restoration costs or the Non-Operation Charge for minor damage that the Company judges, by its own standards, not to require repair or touch-up (such as tiny chips in the glass and fine scratches that do not affect driving or safety).
9. If the Company receives compensation for damage under paragraph 3 from a third party (such as the party at fault or that party's insurance company), the amount borne by the Member shall be reduced by the amount so received.
10. The condition the Car-Sharing Vehicle was in at pickup shall be as declared by the Member in the pre-trip damage check specified in Article 30, paragraph 1, and any damage not declared in that check shall be presumed, unless proven otherwise, to have occurred during the rental period.
11. If a Member so wishes, the Member may, at the time of booking the rental contract, purchase the coverage options separately specified by the Company (the “Peace of Mind option” and the “Double Peace of Mind option”; together, “additional insurance”). The scope of the costs waived under the additional insurance (the amount borne for Incidental Damage under paragraph 4, the Non-Operation Charge under paragraph 5, the deductibles specified in Article 24 and the like) shall be separately specified by the Company and published on the Company's website or in the app. However, the additional insurance applies to one accident only per rental. The deductible and the Non-Operation Charge apply separately to each accident.
12. Notwithstanding any other provision of these Terms and Conditions, if loss is caused to a Member in connection with a rental contract owing to a cause attributable to the Company (excluding cases of willful misconduct or gross negligence on the part of the Company), the Company shall be liable for damages for non-performance or in tort only for ordinary actual loss and only up to an amount equivalent to the usage charges under that rental contract, and shall not be liable for loss arising from special circumstances or for lost profits.

Article 24 (Coverage)

1. The Company shall, through the automobile insurance policy taken out on Car-Sharing Vehicles and the coverage scheme specified by the Company, indemnify the liability for damages under paragraph 1 of the preceding Article borne by a Member as a result of a motor vehicle accident during use, within the following limits.
(1) Bodily injury coverage: unlimited per person (including compulsory automobile liability insurance)
(2) Property damage coverage: unlimited per accident (¥200,000 deductible)
(3) Vehicle damage coverage: market value per accident (¥200,000 deductible)
(4) Personal injury coverage: ¥30,000,000 per person
Injury (including death and residual disability) to an occupant caused by a motor vehicle accident is compensated in the amount of the loss, regardless of the driver's proportion of fault. (Limit unlimited: the amount of the loss is assessed by the insurance company in accordance with the insurance policy conditions.)
The deductible, however, applies separately to each accident.
2. Loss exceeding the coverage limits specified in the preceding paragraph, or loss exceeding the insurance proceeds actually paid by the insurance company, shall be borne by the Member.
The scope of application of the Company's automobile insurance policy and of the coverage scheme prescribed by the Company is limited to motor vehicle accidents and the like occurring during the rental period (including an extension period approved by the Company).
3. Accidents and loss occurring outside the rental period (in a period that does not include an extension approved by the Company) fall outside the scope of the Company's automobile insurance policy and coverage scheme, save for cover under compulsory automobile liability insurance, and the Member shall bear all of that loss (including compensation to third parties and loss suffered by the Company) at its own cost and responsibility.
4. The preceding paragraphs shall not apply where loss is caused to a Member by the Company's wilful misconduct or gross negligence.
5. If the automobile insurance specified in paragraph 1 does not apply, the Member shall compensate for the loss itself in accordance with paragraphs 1 and 3 of the preceding Article.
6. If there has been a breach of these Terms and Conditions (including an omission, and including where the Member did not notify the Company of the accident immediately in accordance with Article 26, paragraph 1, item 1 and reported it after returning the Car-Sharing Vehicle), or if the loss arises from driving by a person who is not a Member, the insurance proceeds or coverage payment specified in paragraph 1 will not be paid. In that case, the Member shall bear the full amount of the loss, including the actual repair costs and the like, compensation to third parties and the Non-Operation Charge, in accordance with the preceding paragraph.
7. For the purposes of these Terms and Conditions and of the coverage scheme under them, “one accident” means the loss occurring within one continuous maneuver of a Car-Sharing Vehicle by the Member, and does not necessarily correspond to the unit by which the police or another administrative authority processes an accident.
(1) “One maneuver” means a series of continuous driving operations from moving off to stopping, changing the direction of travel, changing the purpose of the operation, or the Member's own withdrawal from the situation; if several instances of loss occur within that maneuver — to the vehicle, to the person or property of a third party, or to other surrounding objects or people — they shall be treated as “one accident”.
(2) Even if loss occurs at the same place and in the same period of time, loss arising because the Member stopped the vehicle once and then changed its direction of travel, or moved the vehicle again for a different operational purpose, shall be treated as a separate accident for each such maneuver. For example, loss occurring while moving forward and loss arising from subsequently reversing shall be treated as separate accidents, even if the Member did not get out of the vehicle, and even though they occurred at the same place and in the same period of time.
(3) Even if the police or another administrative authority processes several instances of loss occurring at the same place as a single accident, if they are recognized as separate accidents under the standards in items (1) and (2) of this paragraph, they shall be treated as separate accidents under these Terms and Conditions, and the deductible and the coverage limits shall apply repeatedly for each accident.
(4) If a difference of view arises between the Member and the Company as to the identity of a maneuver in applying this paragraph, the Company and the insurance company shall determine the matter reasonably, in consultation, taking into account the circumstances at the scene, the accident record, objective evidence such as dashcam footage, the statements of the other party and the view of the insurance company.

Article 25 (Measures in the Case of Parking Violations, Speeding Violations and the Like)

1. If a Member commits a parking violation under the Road Traffic Act in relation to a Car-Sharing Vehicle during the rental period, the Member shall report to the police station with jurisdiction over the area in which the parking violation occurred (the “handling police station”), immediately pay the traffic fine for the parking violation in person, and bear the costs of towing, storage, collection and the like arising from that parking violation.
2. In the case of the preceding paragraph, if the police station contacts the Company about the parking violation, the Company shall contact the Member and instruct the Member to move the Car-Sharing Vehicle promptly to a place prescribed by the Company and to carry out the administrative procedures, such as reporting to the handling police station and paying the traffic fine for that violation, by the return date and time of the Car-Sharing Vehicle or by the time instructed by the Company, and shall at the same time require the Member to report to the police station or other authority and to sign the document prescribed by the Company acknowledging the fact of the abandoned-vehicle parking violation and undertaking to comply with the legal measures as the offender (the “written admission”), and the Member shall comply. If the Member has not paid the traffic fine for that parking violation, or has not paid the costs under the preceding paragraph, the Company may refuse to accept the return of the Car-Sharing Vehicle until that payment is completed, even during the rental period.
3. In the case of the preceding paragraph, if the return of the Car-Sharing Vehicle goes beyond the rental period, the Member shall pay the usage charges separately for that excess portion.
4. If the Company considers it necessary, it may submit to the police and to the public safety commission the written admission, the rental conditions, the Member information registered with the Company, data recording the registration number of the Car-Sharing Vehicle rented to the Member and other such materials, and the Member consents to this.
5. If the police or a prefectural public safety commission contacts the Company about a parking violation, the Company may require the Member to pay a deposit equivalent to the Parking Violation Related Costs specified in paragraph 7. If the Member has paid a deposit and pays the traffic fine before the Company pays the parking violation surcharge specified in paragraph 7, the Company shall return to the Member the deposit less the costs arising from that parking violation.
6. If a Member has not completed payment of the traffic fine specified in paragraph 1 or any other steps required to deal with the parking violation by the time the Car-Sharing Vehicle is returned, the Member shall pay the Company the parking violation penalty separately specified by the Company (¥30,000).
7. If the Company receives an order to pay the parking violation surcharge under Article 51-4, paragraph 4 of the Road Traffic Act and pays the parking violation surcharge, or bears the costs required to search for the Member or the costs required to move, store or collect the vehicle or the like, or is subject to a restriction on use of the vehicle (a driving ban) imposed by a prefectural public safety commission, the Company shall charge the Member the amounts listed in the following items (the “Parking Violation Related Costs”) and shall revoke that Member's membership under Article 5, paragraph 1. In this case, the Member shall pay the Parking Violation Related Costs by the date designated by the Company.
(1) Where the Company has paid the parking violation surcharge: ¥30,000 (being the total of the amount equivalent to the parking violation surcharge paid by the Company and the parking violation penalty, the parking violation penalty in this case being ¥30,000 less the amount equivalent to the parking violation surcharge. If the parking violation penalty under the preceding paragraph has already been charged, that penalty shall be deemed included in the amount under this item and shall not be charged again.)
(2) Where the Company has borne the costs required to search for the Member or the costs required to move, store or collect the vehicle or the like: an amount equivalent to those costs
(3) Where the Company is subject to a restriction on use of the vehicle (a driving ban) imposed by a prefectural public safety commission: compensation for the business that cannot be carried on during the period of the restriction (in the amount separately specified by the Company)
8. If a Member is required to pay a traffic fine or the like for a parking violation under paragraph 1 and that Member does not comply with the Company's instruction under paragraph 2 to deal with the violation, or with the Company's request under paragraph 2 to sign the written admission, the Company may collect from that Member a parking violation charge in the amount specified in item 1 of paragraph 7 (referred to in the following paragraph as the “Parking Violation Charge”), to be applied to the parking violation surcharge and the parking violation penalty specified in paragraph 7.
9. If a Member has paid the Company the amount billed by the Company under paragraph 7, and the order to pay the parking violation surcharge is subsequently rescinded because the Member later paid the traffic fine for the parking violation concerned or a prosecution was instituted or for a similar reason, and the Company receives a refund of the parking violation surcharge, the Company shall return to the Member only the amount equivalent to the parking violation surcharge out of the Parking Violation Related Costs already received. The same shall apply where the Company has collected a Parking Violation Charge under the preceding paragraph.
10. If a Member commits a speeding violation (an act exceeding the maximum speed) while driving a Car-Sharing Vehicle during the rental period, the Member shall report to the police station with jurisdiction over the area in which the speeding violation occurred and immediately pay the traffic fine for that speeding violation in person.
11. If the Company bills a Member under this Article for the costs specified in paragraph 1, for the parking violation penalty specified in paragraph 6, for the Parking Violation Related Costs specified in paragraph 7 or for the Parking Violation Charge specified in paragraph 8, the Member shall pay, in addition to those amounts, the administrative handling fee specified in Article 10, paragraph 6.

Chapter 5 Measures in the Event of an Accident or Theft
Article 26 (Handling of Accidents)

1. If an accident involving a Car-Sharing Vehicle (meaning a collision, contact, overturning, fire or other similar event involving the Car-Sharing Vehicle, and including damage treated as an accident under Article 23, paragraph 7; the same applies hereinafter) occurs during the rental period, the Member shall, regardless of the scale of the accident, take the measures required by law and deal with it as follows.
(1) Notify the Company of the circumstances of the accident immediately by the method prescribed by the Company (the app or telephone), and handle the accident in the presence of the police (including filing a report with the police and putting matters in a state in which a traffic accident certificate can be obtained).
(2) Submit without delay the documents or evidence required by the Company and by the insurance company with which the Company has contracted in respect of that accident.
(3) Obtain the Company's consent in advance before reaching a settlement or agreement with a third party in respect of that accident.
(4) Not repair the Car-Sharing Vehicle in person; repairs to the Car-Sharing Vehicle shall be carried out by the Company.
2. In addition to the preceding paragraph, the Member shall resolve the accident at its own responsibility.
3. The Company shall advise the Member on the handling of the accident involving the Car-Sharing Vehicle and shall cooperate in its resolution.
4. If a Member fails to give the notice under paragraph 1, item 1, reports the accident after returning the Car-Sharing Vehicle, or is unable to obtain a traffic accident certificate because the accident was not reported to the police or for a similar reason, the insurance proceeds or coverage payment under Article 24, paragraph 1 will not be paid for the loss arising from that accident, and the Member shall bear the full amount of the loss, including the actual repair costs and the like, compensation to third parties and the Non-Operation Charge, in accordance with Article 24, paragraphs 5 and 6.

Article 27 (Theft)

If a Car-Sharing Vehicle is stolen during the rental period, the Member shall take the following measures.
(1) Report it to the nearest police immediately.
(2) Report the circumstances of the loss to the Company immediately.
(3) Submit without delay the documents and other materials required by the Company and by the insurance company with which the Company has contracted in respect of the theft.

Article 28 (Measures in the Event of a Breakdown and the Like)

1. If a Member finds an abnormality in or a breakdown of a Car-Sharing Vehicle during the rental period, the Member shall stop driving immediately, notify the Company and follow the Company's instructions. If the Company determines that the rental cannot be continued and instructs the Member to stop using the Car-Sharing Vehicle, the rental contract ends when the Member notifies the Company, and the Member shall pay the charges for the period from the pickup date and time specified at booking until the time of that notice.
2. If the abnormality in or breakdown of the Car-Sharing Vehicle is due to a cause attributable to the Member, the Member shall bear the costs required to collect and repair the Car-Sharing Vehicle.
3. If a Car-Sharing Vehicle becomes unusable owing to a defect existing before it was rented out, the Company shall not charge the Service Usage Fees.
4. If a Member has been unable to use a Car-Sharing Vehicle owing to a breakdown or the like occurring despite the Company having carried out the periodic inspection and maintenance specified in Article 18, the Member shall not hold the Company responsible for any loss thereby caused, unless there is a cause attributable to the Company.

Article 29 (Exemption on Grounds of Force Majeure)

1. If a Member becomes unable to return a Car-Sharing Vehicle within the rental time owing to a natural disaster, an accident, theft or other force majeure not attributable to the Member, the Company shall not hold the Member responsible for any loss thereby caused. In this case, the Member shall notify the Company immediately and follow the Company's instructions.
2. If the Company becomes unable to rent out a Car-Sharing Vehicle owing to a natural disaster, an accident, theft, a breakdown or defect of a vehicle, a late return by another Member, a communications failure in telecommunications services such as fixed-line telephone, mobile telephone, smartphone or internet connections, a failure or defect in the systems used to operate the Service, or any other cause not attributable to the Company, the Company shall not be liable for any loss thereby caused to the Member.

Chapter 6 Return
Article 30 (Checking the Car-Sharing Vehicle and the Like)

1. When returning a Car-Sharing Vehicle to the Company, the Member shall return it to the designated place in the condition it was in at pickup; where, apart from wear from normal use, there is soiling or damage to the Car-Sharing Vehicle or the loss of equipment, the Member shall bear the costs required to restore the Car-Sharing Vehicle to the condition it was in at pickup in accordance with Article 23, paragraph 3, except where this is due to a cause attributable to the Company. “The condition it was in at pickup” means the condition of the vehicle including the damage and defects declared in the pre-trip damage check that the Member carries out in the Service's app immediately before pickup. If the Member fails to return the Car-Sharing Vehicle to the designated place owing to a cause attributable to the Member, the Member shall bear the costs required to move the Car-Sharing Vehicle to the designated place.
2. In addition to the case specified in the preceding paragraph, if a Member finds an abnormality in a Car-Sharing Vehicle when returning it, the Member shall notify the Company promptly by the method prescribed by the Company (the app or telephone).

Article 31 (Treatment of Items Left Behind)

1. When returning a Car-Sharing Vehicle, the Member shall check at its own responsibility that no articles left by the Member, a passenger or any other third party (“items left behind”) remain in the Car-Sharing Vehicle.
2. Given the nature of the Service, in which Car-Sharing Vehicles are rented out and returned at unstaffed stations, the Company is generally unable to check whether items have been left behind in a returned Car-Sharing Vehicle or to recover them where they have, and the Member shall be responsible for any loss caused to the Member, a passenger or any other third party by leaving an item behind.
3. If a Member wishes to entrust the Company with the work of recovering an item left behind in a Car-Sharing Vehicle that has already been returned, the Company may accept that request only if it determines that the recovery work can be carried out, taking into account the nature of the item left behind, the state of use of that Car-Sharing Vehicle, the working circumstances of the Company's staff and other conditions. If the Company accepts the recovery work, the Member shall pay ¥20,000 as the costs required for the recovery work (or, if the costs expected to be required for the recovery work exceed ¥20,000, that amount) by the method specified in Article 10, whether or not the item left behind is actually recovered.
4. If the Company recovers an item left behind in a Car-Sharing Vehicle on its own initiative rather than at a Member's request, it will handle the item as set out below. However, an item left behind that has no property value and is difficult to keep on an ongoing basis may be disposed of immediately without following the items below.
(1) An item left behind that has no property value, or that is liable to decay, is a dangerous good or is otherwise difficult to keep on an ongoing basis, is kept for 3 days including the day of recovery and is disposed of if no request for collection is made by the owner during that period.
(2) Driver's licenses, passports, credit cards (including ETC cards; the same applies below), coins, banknotes, revenue stamps, postage stamps, securities, gift certificates, precious metals, electronic devices in general including mobile phones, and jewelry are reported to the police station with jurisdiction as lost property and handed over to it. If the report is not accepted, they are kept for 3 months from the day of recovery, and if the name and address of the owner become known during that period, that owner (in the case of a credit card, the issuing company) is asked to collect the item. If the name and address of the owner have not become known within 3 months from the day of recovery, or if the owner does not request collection, the item is disposed of.
(3) Firearms, swords, drugs and other articles whose possession is prohibited by law are reported to the police station with jurisdiction immediately and handed over to it.
(4) Items left behind that fall under none of items 1 to 3 above are kept for 1 month from the day of recovery and are disposed of if no request for collection is made by the owner during that period.
5. If the Company hands over to the Member as owner an item left behind that it recovered other than at the Member's request, the Member shall pay ¥20,000 as the costs required for recovery and storage (or, if the total of the costs required for recovery and storage exceeds ¥20,000, that amount) by the method specified in Article 10.

Article 32 (Return of the Car-Sharing Vehicle)

1. The Member shall, at the station at which the vehicle was picked up, lock the Car-Sharing Vehicle in person and carry out the return procedure prescribed by the Company by the return date and time set at booking.
2. If a Member breaches the preceding paragraph, the Member shall compensate the Company for all loss caused to it.
3. If a Member keeps the vehicle past the return date and time set at booking, the Member shall pay the charge specified in each of the following items according to the category concerned. In either case, the maximum time charge, the minimum charge and the night pack fee structures shall not apply to the excess time.
(1) If the Company has approved an extension under Article 6, paragraph 7 and Article 17, paragraph 2: a charge equal to the normal time charge for the approved extension time.
(2) If the Member overruns without the Company's approval, or overruns beyond the approved extension time (an unauthorized extension): an amount equal to twice the normal time charge for the unauthorized extension period. This item also applies where the overrun arises because another booking meant that an extension could not be approved.
4. Unless there is an extension approved by the Company, the Member must return the vehicle by the return date and time set at booking. If there is an approved extension, the Member must return the vehicle by the extended return time so approved.
5. Failure to return the vehicle in breach of the preceding paragraph constitutes an unauthorized extension, and the Member shall bear the overtime charge and the penalty separately specified by the Company and the costs required for recovery, searching and the like. If an unauthorized extension continues and the requirements of Article 33 are met, the Company may take the measures specified in that Article.

Article 33 (Measures If a Car-Sharing Vehicle Is Not Returned)

1. If a Member has not returned a Car-Sharing Vehicle 12 hours after the expiry of the rental time and does not comply with the Company's demand for its return, or if the Member's whereabouts are unknown and the Member is deemed to have absconded with the vehicle, the Company shall take legal steps, such as filing a criminal complaint.
2. In the case of the preceding paragraph, the Company shall ascertain the whereabouts of the Car-Sharing Vehicle by every means.
3. In the case of paragraph 1, the Member shall, in addition to being liable under Article 23 to compensate for the loss caused to the Company, bear the costs required to recover the Car-Sharing Vehicle and to search for the Member.
